Whole Food Earth® Club — Terms and Conditions

1. About the Club

The Whole Food Earth® Club (the "Club") is a free membership programme that unlocks lower prices on Whole Food Earth® products. Joining gives members access to member pricing and savings across our range, subject to these Terms and Conditions (the "Terms"). By joining the Club or placing an order as a member, you agree to be bound by these Terms.

These Terms should be read together with our standard website Terms of Sale, Privacy Policy and any other policies referenced on wholefoodearth.com. Where there is a conflict in relation to resale activity, these Club Terms take precedence.

2. Membership and eligibility

2.1 Who can join

Membership of the Club is open to anyone — individuals and businesses alike. You must be able to enter into a legally binding contract. If you join on behalf of a business, you confirm you are authorised to bind that business to these Terms.

2.2 No membership fee

Membership is free. There is no joining fee, subscription or recurring membership charge. You pay only for the products you order, plus any applicable delivery charges and taxes.

2.3 Your account

You are responsible for keeping your account details accurate and your login secure. You are responsible for all activity carried out under your account.

3. Member pricing and buying products

The main benefit of the Club is access to lower, member-only prices. Club members may purchase products at the member prices shown at the time of ordering. Member pricing, product availability and specifications may change without notice, and discounts or offers may be added or withdrawn at our discretion. All orders are subject to acceptance and stock availability, and we may limit order quantities at our discretion.

Title to, and risk in, products passes in accordance with our standard Terms of Sale. You are responsible for inspecting products on delivery and for storing, handling and transporting them in line with the storage instructions and use-by/best-before dates on the packaging.

4. Reselling our products

We actively welcome members reselling Whole Food Earth® products. To protect the brand, our customers and other members, the following rules apply to all resale activity.

4.1 Resale in physical (brick-and-mortar) shops — permitted

Members may resell Whole Food Earth® products through physical retail premises, including:

  • independent shops, health-food stores, grocers, delicatessens and farm shops;
  • market stalls, pop-ups and other in-person retail outlets; and
  • similar bricks-and-mortar premises operated by you.

No prior approval is required to resell through physical shops. You must, however, comply with the general resale conditions in section 5.

4.2 Reselling on Amazon — not permitted

Whole Food Earth® products must not be listed, advertised or sold on Amazon (including Amazon Marketplace, Amazon Handmade, Fulfilled by Amazon, or any Amazon site in any territory), whether under your own listing, an existing listing, or via a third party acting on your behalf. This prohibition applies regardless of whether you have obtained approval for any other online channel.

4.3 Reselling online (other channels) — by application only

Selling Whole Food Earth® products through any online channel — for example your own website or webshop, eBay, Etsy, social-media shops, online marketplaces or any other digital storefront (Amazon excepted, as it is never permitted) — requires our prior written approval.

To apply, you must contact us and pitch your business so that we can understand who you are and how you intend to sell online. Your pitch should include, as a minimum:

  • Who you are — your name, trading name, business/company details and registered address, and a named contact responsible for the account.
  • Where and how you will sell — the specific online channel(s), store/website URL(s) or marketplace handles you intend to use.
  • Who will run it — the person(s) who will operate and manage the online listings and fulfilment.
  • Which products — the products or ranges you plan to resell and your expected volumes.
  • How you will represent the brand — how products will be presented, priced, described and supported, and how you will handle storage, shipping and customer queries.

Send your pitch to both hello@wholefoodearth.com and marketing@wholefoodearth.com. We will review your application and respond. We may grant approval, decline, or grant approval subject to conditions, entirely at our discretion. You must not sell online until you have received our written approval. Approval is specific to the channels and details you submitted; any material change (new channel, new operator, new products) requires a fresh approval.

We may withdraw or vary online-resale approval at any time on reasonable notice, or immediately where these Terms are breached.

5. General resale conditions

Whether you resell in physical shops or (once approved) online, you must:

  • sell at our recommended retail price (RRP) as shown on the Whole Food Earth® website (wholefoodearth.com), and not at the discounted member/Club prices, which are reserved for Club members only;
  • only resell genuine Whole Food Earth® products bought from us, unaltered and in their original packaging, with labelling, ingredient and allergen information intact;
  • store, handle and transport products hygienically and in line with the storage instructions, and never sell products that are past their best-before/use-by date or that have been damaged or tampered with;
  • comply with all applicable laws, including food safety, labelling, weights and measures, consumer protection and trading-standards requirements in the territory where you sell;
  • not make false, misleading or unauthorised claims about the products, and not present yourself as an agent, employee or official representative of Whole Food Earth®;
  • not use the Whole Food Earth® name, logo or other intellectual property except to truthfully describe the products you are reselling, and not register or use confusingly similar names, domains or social handles; and
  • act in a way that protects the reputation and integrity of the Whole Food Earth® brand.

You resell as an independent business on your own account. Nothing in these Terms creates a partnership, agency, franchise or employment relationship between you and Whole Food Earth®.

6. Intellectual property

The Whole Food Earth® name, logo, trade marks, product images and other brand assets remain our property (or that of our licensors). Membership and any resale approval do not transfer any ownership rights. We grant you a limited, non-exclusive, revocable permission to use our product names and images solely to advertise and resell the genuine products you have purchased from us, in line with these Terms.

7. Suspension and termination

Membership is voluntary and either party may end it at any time. You may leave the Club by contacting us. We may suspend or terminate your membership, or withdraw resale permissions, at our discretion — including where you breach these Terms, sell on Amazon, sell online without approval, or act in a way that harms the brand or other members. On termination you must stop describing yourself as a Club member and cease any online resale that relied on our approval.

8. Liability

Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, or for fraud. Subject to that, we are not liable for indirect or consequential loss, or for loss of profit, revenue or business, arising from your resale activity. As a reseller you are responsible for your own dealings with your customers, including any consumer-law obligations you owe them.

9. Changes to these Terms

We may update these Terms from time to time to reflect changes to the Club, our products or the law. The current version will be published on our website, and your continued membership or resale activity after an update constitutes acceptance of the revised Terms.

10. Governing law

These Terms, and any dispute or claim arising out of or in connection with them, are governed by the laws of England and Wales, and the courts of England and Wales have non-exclusive jurisdiction.
